DCIU Signs Preliminary Investment Agreement With Digilink

Participates in Corporate Content Management Market


NEW YORK, Aug. 15, 2005 (PRIMEZONE) -- DCI USA, Inc. (OTCBB:DCIU) today announced that the Company has signed a preliminary investment agreement with Digilink Limited, a privately held company. Digilink designs, develops, and sells Information Management and Content Management solutions for a broad spectrum of the enterprise market. Digilink's software is well positioned to gain a strong share of the 12 billion dollar knowledge management market.

Ivor Share, CEO of Digilink, said, "This investment by DCIU allows us to rapidly extend our marketing to reach companies that would not otherwise be able to afford the high end solutions offered today. Under the terms of the Letter of Intent, DCIU has agreed to provide Convertible loan facilities for up to $650,000. In consideration of the convertible loan line, Digilink will issue to DCIU shares of Digilink stock based on a multiple of the revenues earned over the next 12 months. The convertible loan line will be drawn down according to a pre-approved schedule under terms to be delineated in a subsequent Definitive Agreement.
