Merger of Schouw & Co. and BioMar Holding approved

At the annual general meeting of BioMar Holding held on April 15,
2008, the proposal of a merger with Schouw & Co. was approved, and at
the annual general meeting of Schouw & Co. held on April 16, 2008,
the proposals to issue bonus shares and to merge with BioMar Holding
were adopted.

All necessary prerequisites are now in place for carrying out the
merger of Schouw & Co. and BioMar Holding in accordance with the
merger proposal dated March 12, 2008.
Highlights of the final merger timetable are as follows:
April 16 2008 Shares in BioMar Holding traded ex dividend.

April 17 2008 Shares in Schouw & Co. traded ex dividend.

April 21 2008 Last day of trading in BioMar Holding shares on the OMX
Nordic Exchange Copenhagen.
Last day of trading in Schouw & Co. shares including bonus shares.

April 22 2008 Bonus shares and shares in Schouw & Co. exchanged from
shares in BioMar Holding (i.e. first day of trading ex bonus shares
in Schouw & Co. and first day of trading in shares in Schouw & Co.
allocated to shareholders in BioMar on the merger).
Net dividend available in accounts held by BioMar Holding
shareholders.

April 23 2008 Net dividend available in accounts held by Schouw & Co.
shareholders.

April 24 2008 Bonus shares allocated in 1:1 ratio in VP Securities
Services (after the daily updating). VP Securities Services to issue
a new shareholding statement to the shareholders of Schouw & Co.
Merger processed by VP Securities Services. Each share in BioMar
Holding to be exchanged for a share in Schouw & Co. VP Securities
Services issues a new shareholding statement to the shareholders of
BioMar Holding.
As a result of the merger, Schouw & Co.'s holding of treasury shares
will be reduced to below 5%, and the ownership interests of the other
major shareholders are also changed. An updated list of major
shareholders is expected to be released on April 24, 2008.
