Zions Bancorporation Announces Exchange Ratios for Its Subordinated Notes Exchange Offer


SALT LAKE CITY, March 25, 2010 (GLOBE NEWSWIRE) -- Zions Bancorporation ("Zions" or the "Company") (Nasdaq:ZION) announced today the exchange ratios for its offer to exchange Zions' Common Stock for any and all of its outstanding nonconvertible subordinated notes.

The three series of nonconvertible subordinated notes that are the subject of the Exchange Offer are its 2009 5.65% Subordinated Notes due 2014 (CUSIP: 989701AU1) (the "5.65% Notes"), 2009 6.00% Subordinated Notes due 2015 (CUSIP: 989701AV9) (the "6.00% Notes") and 2009 5.50% Subordinated Notes due 2015 (CUSIP: 989701AW7) (the "5.50% Notes," and together with the 5.65% Notes and the 6.00% Notes, the "Notes").

The Exchange Offer will expire at 11:59 p.m., New York City time, on March 26, 2010, unless Zions extends it or terminates it early (such date and time, as the same may be extended, the "Expiration Date"). Holders may withdraw Notes that they tender at any time before the Expiration Date. 

As described in the Offer to Exchange, dated March 1, 2010, the exchange ratios were calculated based on the average Volume Weighted Average Price, or "Average VWAP," of the Common Stock for each of the five consecutive trading days ended March 24, 2010, which was $22.5433 per share.

The total number of shares of Common Stock issuable for each $1,000 outstanding principal amount of Notes accepted will be:

  • with respect to each 5.65% Note: 39.7014 (or $895.00 divided by $22.5433 with cash in lieu of any fractional share),
     
  • with respect to each 6.00% Note: 39.1469 (or $882.50 divided by $22.5433 with cash in lieu of any fractional share) or
     
  • with respect to each 5.50% Notes: 38.1488 (or $860.00 divided by $22.5433 with cash in lieu of any fractional share). 

Each tendering holder of Notes ("holders") who would otherwise be entitled to receive a fraction of a share of Common Stock will receive cash, without interest, in an amount equal to the fractional share to which such holder would otherwise be entitled multiplied by $22.5433. In addition, Zions will also pay cash for any accrued and unpaid interest up to but excluding the settlement date on any Notes accepted in the Exchange Offer.
