Arbor Realty Trust, Inc. Announces Pricing of $230 million of 4.75% Convertible Senior Notes due 2022


UNIONDALE, N.Y., Nov. 06, 2019 (GLOBE NEWSWIRE) -- Arbor Realty Trust, Inc. (the “Company”) (NYSE: ABR) today announced the pricing of $230 million in aggregate principal amount of its 4.75% Convertible Senior Notes due 2022 (the “Notes”) in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). The Company also granted the initial purchasers of the Notes a 13-day option to purchase up to an additional $34 million aggregate principal amount of the Notes on the same terms and conditions. The sale of the Notes to the initial purchases is expected to settle on or about November 12, 2019, subject to customary closing conditions.

The Notes will bear interest at a rate equal to 4.75% per year, payable semiannually in arrears on May 1 and November 1 of each year, beginning on May 1, 2020 and will mature on November 1, 2022, unless earlier converted or repurchased. The Company will not have the right to redeem the Notes prior to maturity. The Notes will be convertible, subject to certain conditions, into cash, shares of the Company’s common stock or a combination thereof, at the Company’s sole election. The initial conversion price of the Notes will be determined by reference to the average of the daily volume-weighted average prices of the Company's common stock for the two trading days immediately following today's date.

Concurrently with the offering of the Notes, the Company intends to enter into separate privately negotiated agreements with certain holders of its outstanding $115 million aggregate principal amount of 5.25% Convertible Senior Notes due 2021 that were issued on July 3, 2018 (the “5.25% Convertible Notes (A)”) and $149.5 million aggregate principal amount of 5.25% Convertible Senior Notes due 2021 that were issued on July 20, 2018 (the “5.25% Convertible Notes (B)” and together with the 5.25% Convertible Notes (A), the “5.25% Convertible Notes”) to exchange their 5.25% Convertible Notes for cash and shares of the Company’s common stock. The Company intends to use the net proceeds of this offering to pay the cash consideration under such exchange agreements and any remaining proceeds from the offering for general corporate purposes. The 5.25% Convertible Notes mature on July 1, 2021 and bear interest at a rate of 5.25% per annum.
