Annual General Meeting Carlsberg A/S


VALBY, Denmark, March 18, 2002 (PRIMEZONE) -- The Annual General Meeting of Carlsberg A/S took place earlier today in accordance with the enclosed agenda.

The report and the annual accounts were approved as well as the Board of Directors' proposal regarding the distribution of the profit for the year, including a 25% shareholder dividend.

The General Meeting authorized the Board of Directors to acquire their own shares, cf. Section 48 of the Danish Companies Act. The company will now consider whether to implement a programme for the repurchase of their own shares.

As proposed by the Board of Directors, Axel Michelsen, Professor, Ph.D.; Torkild Andersen, Professor, Ph.D.; and Henning Dyremose, President & CEO, were re-elected. Jens Otto Veile, Managing Director, replaced Palle Marcus, Managing Director, who wished to resign from the Board of Directors.

As proposed by the Board of Directors, the auditing firms PricewaterhouseCoopers and KPMG C. Jespersen were re-elected as auditors.

At a subsequent Board Meeting, the Board of Directors elected Poul Chr. Matthiessen, Professor, Dr. of Economics, as chairman and Jens Bigum, Managing Director, as Deputy Chairman.

The newly-elected members of the Board of Directors of Carlsberg A/S are Bent Ole Petersen, laboratory senior, and Claes Gjermansen, department manager. The newly-elected Group representatives are Hans Andersen, senior shop steward, and Erik Dedenroth, EDP Office Manager.

In conclusion, it was announced that Carlsberg Breweries A/S held their Annual General Meeting earlier today. Saren Bjerre-Nielsen, Executive Vice President of Danisco, was elected to the Board of Directors, and at a subsequent Board Meeting, Jens Bigum, Managing Director, was elected Chairman of the Board and Finn Jebsen, President & Group Chief Executive; Orkla ASA was elected Deputy Chairman.
