Cyber Com Consulting Group Scandinavia AB (publ) held its annual general meeting (AGM) on 16 April 2002. AGM decisions agree with board proposals in the AGM invitation.

Annual report 2001

The AGM approved the 2001 annual and auditor's reports, group accounts, and the group audit report.

Board member election

The board must consist of seven regular members. The current board was re-elected and consists of Gert Schyborger, Per Bergstrom, Lars Persson, Kerstin Ryer, Pekka Seitola, Christer Sandahl, and Peter Tornquist.

Distribution

The AGM decided to go along with the board's proposal, so no dividends for the 2001 financial year will be distributed.

Authorisation

The AGM decided to authorise the board to take share-issue decisions on one or several occasions. So the company's share capital could increase by up to 500,000 shares at a nominal SEK 1 per share; this authorisation is valid until the next AGM. The issues will create a dilution effect comparable to 4.8% of the capital and votes in the company -- if previously issued subscription warrants are fully used.

The share issues should be able to occur with deviation from shareholders' preferential rights. The authorisation is intended to enable company acquisitions or acquisitions of operations in which the purchase price is totally or partially comprised of shares. Payment for subscribed shares should be able to occur through mutual exchange (payment in kind) or through equalisation. All decisions were unanimous.
