Sigma Divests Subsidiary


STOCKHOLM, Sweden, Oct. 1, 2002 (PRIMEZONE) -- Sigma AB is to sell its subsidiary, Sigma CadSupport AB, with slightly more than 30 employees, to Epsilon AB. The sale forms part of Sigma's streamlining of its operations, and is conditional upon approval by a Special General Meeting to be held on October 17.

Sigma CadSupport is a leading consultancy company in CAD technology, with offices in Malmo, Stockholm and Gothenburg. The company specializes in CAD, document processing and visualization. The company has slightly more than 30 employees and annual sales of SEK 44 M (2001).

"As part of the streamlining of Sigma as a consultancy company, the sale of Sigma Maldata Network Solution AB has been announced. One consequence of this will be the disappearance of the internal synergies for Sigma CadSupport. Sigma has therefore accepted Epsilon's proposal to acquire Sigma CadSupport for SEK 10 M," says Sune Nilsson, President of Sigma AB.

The sale entails a capital gain for Sigma of approximately SEK 8 M. Due to the applicability of the so-called Leo Act legislation regarding private placement issues of shares, since Dan Olofsson is the principal shareholder in Epsilon via his company Danir AB, a decision is required by a Special General Meeting, to be held at the Sigma building, Dockplatsen 1, Malmo on October 17 at 5 p.m. An invitation to the Special General Meeting will be published on October 3, 2002. At that time, background information will be made available at www.sigma.se. Ernst & Young has conducted an independent review and has prepared a fairness opinion.
