Retired AT&T Vice Chairman Charles H. Noski, Retired Admiral Charles R. Larson Join Northrop Grumman Board of Directors


LOS ANGELES, Nov. 22, 2002 (PRIMEZONE) -- Northrop Grumman Corporation (NYSE:NOC) today announced the addition of two members to its board of directors. Charles H. Noski, retired vice chairman of the board of AT&T, and retired Adm. Charles R. Larson were elected to Northrop Grumman's board during its meeting held Nov. 20.

"Both Mr. Noski and Admiral Larson bring substantial depth to our board in key areas for our company," said Kent Kresa, Northrop Grumman chairman and chief executive officer. "Chuck Noski has an impressive background in finance and operations, as well as defense industry experience, that will serve our company well. Chuck Larson, who rejoins the board following a brief absence, has unique experience that spans military leadership, management and government policy. They are excellent additions to our board."

Noski joined AT&T in December 1999 as senior executive vice president and chief financial officer. He was elected vice chairman of the board of AT&T in early 2002 and was responsible for broad aspects of the company's strategy and operations, including AT&T's recently completed restructuring. Noski was also a member of AT&T's Operations Group, the company's senior-most leadership council.

Prior to joining AT&T, Noski was president and chief operating officer and a member of the board of directors of Hughes Electronics Corporation. In 1990, Noski joined Hughes as corporate vice president and controller. He was appointed corporate senior vice president and chief financial officer of Hughes in 1992 and assumed the additional responsibility of vice chairman in 1996.

Previously, he was a partner of Deloitte & Touche, where he was national industry director for services to the aerospace and defense industry. In addition to Northrop Grumman's board, Noski is also a member of the board of directors of Air Products and Chemicals, Inc., and Teledyne Technologies, Inc.

He is a member of the American Institute of Certified Public Accountants and a past member of the Financial Accounting Standards Advisory Council.

Adm. Larson was first elected to Northrop Grumman's board in August 2000. He rejoins it now after resigning earlier this year to campaign for the position of lieutenant governor of Maryland.

Adm. Larson is currently a consultant on defense, foreign policy and education issues to government and industry. He served as commander in the Pacific from 1991 to 1994, when he was responsible for 350,000 personnel and the readiness of all U.S. forces in the theater. His decorations include the Defense Distinguished Service Medal, seven Navy Distinguished Service Medals, three Legions of Merit, Bronze Star Medal, Navy Commendation and the Navy Achievement Medal.

He was the first Naval officer selected to be a White House Fellow and Naval aide to a president, and previously was superintendent of the U.S. Naval Academy, first from 1983 to 1986, and again from 1994 to 1998. He is vice chairman of the board of regents of the University System of Maryland and is chairman of the board of directors of the U.S. Naval Academy Foundation. He serves on the board of directors of Edge Technologies, Inc., and the Atlantic Council.
