Trelleborg Concludes Agreement to Acquire Seaward International


STOCKHOLM, Sweden, Dec. 3, 2002 (PRIMEZONE) -- The Trelleborg Group (Other OTC:TBABF) has concluded its acquisition of the operations of the American company Seaward International Inc., one of the largest producers of marine fender systems in the United States.

The acquisition strengthens the Trelleborg Group's position as the world's leading supplier of marine fender systems.

Seaward International Inc. has annual sales of approximately SEK 200 M, with about 60 employees, at two production units in Winchester, Virginia. The company specializes in floating fender systems, among other products.

The acquisition of Seaward International Inc.'s operations will take the form of an asset-transfer transaction.

Trelleborg's fender operations are organized within the Trelleborg Engineered Systems business area. Seaward's range of floating marine fender systems complements Trelleborg's own range of fender operations well, both in terms of products and geographical coverage. In May 2002, Trelleborg acquired Fentek Marine Systems with operations in Germany and the UK, Hercules Rubber and Chemicals in Singapore and Queensland Rubber in Australia. Today, Fentek is the brand and collective name used for all of Trelleborg's fender operations.
