Teleca Makes Directed New Share Issue of 2 million Shares


MALMO, Sweden, May 15, 2003 (PRIMEZONE) -- The Board of Directors of Teleca has decided on a directed new share issue of 2,000,000 series B shares to a limited number of institutional investors. The decision is based on an authorization from the Annual General Meeting held on May 6, 2003. The purpose of the new share issue is to finance the acquisitions of YacCom, Geoworks and the remaining outstanding shares in AU-System after completed compulsory acquisition.

The shares have been placed at a price of SEK 32.00 per share and will raise SEK 64 million to the company, before expenses related to the issue. Up until the completion of the placing of shares, the volume weighted average price for the Teleca share on Stockholmsborsen (Stockholm stock exchange) on May 14 was SEK 32.12. After the new share issue, the total number of shares outstanding in Teleca will amount to 61,079,516 shares.

In connection with the transaction, Danir AB is lending 2,000,000 of their Teleca shares, which will be returned once the new share issue has been registered with the Swedish Patent and Registration Office, PRV.
