The action charges OmniVision and certain of its senior officers with violations of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934, and Rule 10b-5 promulgated thereunder. The alleged violations stem from the dissemination of false and misleading statements, which had the effect -- during the Class Period -- of artificially inflating the price of OmniVision's shares.

Investors allege that during the Class Period, during the Class Period, OmniVision issued a series of material misrepresentations to the market concerning the Company's financial condition thereby artificially inflating the price of OmniVision's common stock. Specifically, the Complaint alleges that the Company failed to disclose and misrepresented the following material adverse facts which were known to defendants or recklessly disregarded by them: (1) that the Company knew or recklessly disregarded the fact that the Company was losing customers to larger rivals such as Micron Technologies, Inc., Texas Instruments Inc., and National Semiconductor Corporation; (2) that the Company knew or recklessly disregarded that its surging growth was hitting a plateau, due to the decline in the customer base; (3) that the defendants, in order to mask the decline in growth, manipulated the Company's financial results through improper revenue recognition, which was in violation of Generally Accepted Accounting Principles; and (4) that as a result, the Company's financial results were materially inflated and inaccurate at all relevant times.
