STOCKHOLM, Sweden, Nov. 8, 2004 (PRIMEZONE) -- An Extraordinary General Meeting of Poolia shareholders decided today, in accordance with a motion from the Board of Directors, that Uniflex is to be distributed to the shareholders in connection with a reduction of Poolia's share capital through a decrease in the par value per share. For each multiple of five Series A Poolia shares, the holder will receive one Series A Uniflex share, and for each multiple of five Series B Poolia shares, the holder will receive one Series B Uniflex share.
The record date for entitlement to Uniflex shares will be November 16, 2004. The final date for trading in Poolia shares that provide entitlement to Uniflex shares will be November 11, 2004. The intention is that Uniflex shares will become subject to trading on the New Market list as of November 19, 2004.
The General Meeting also approved the Board of Directors' motion regarding a new issue of 6,770 Series B shares, at a price of SEK 27.70 and disapplying the preferential rights of shareholders. The new issue has been subscribed for by Enskilda Securities. The new issue, and an immediately following bonus issue in order to restore the share capital, will be made to enable the spinoff to be implemented as quickly and efficiently as possible.
