Effective on January 21, 2005 Vogue Travel Services, Inc. acquired 100% of the outstanding shares of 31E Cellular, Ltd. a United Kingdom Corporation, via merger of Vogue Travel Services, Inc. and 31E Cellular, Ltd. The purpose of the acquisition was for 31E Cellular, Ltd. to fulfill its business plan to become publicly listed and traded on a U.S. exchange in 2005.
