LAS VEGAS, March 31, 2005 (PRIMEZONE) -- Strictly Business, Inc. (SBI) Chairman Ron Ray, has reaffirmed his intention to continue the takeover efforts relating to Beverly Hills Weight Loss and Wellness, Inc. (OTCBB:BHWW).
Mr. Ray states "The press release of March 31, 2005, that was put out by BHWW is inaccurate. A representative of SBI, one of the largest shareholders, has been in ongoing discussions with Tim Murray, President of BHWW. Mr. Murray has expressed an attitude of compromise and has agreed to investigate the claims of SBI, and has assured us that he is willing to come to a mutually acceptable resolution of the issues relating to what could be the improper issuances of shares to insiders."
Mr. Murray was advised that "SBI is currently accumulating proxy votes required to change the board in order to implement its future growth plans. All shareholders are invited to contact the offices and to join the team."
SBI has expressed gratitude to Mr. Murray for his efforts in resolving the outstanding issues on behalf of all shareholders.
SBI has already put into motion the steps required to call for an emergency shareholders meeting. SBI has requested BHWW to inform all shareholders of a date and time certain, through a press release, for the emergency meeting. SBI's purpose for taking such extreme steps as the calling of an emergency meeting of the shareholders is to remove the current board, to appoint a new Board of Directors prior to the introduction of a potential target acquisition candidate, and to appoint an independent accounting firm, which will immediately begin to review the books and records of the company as part of an independent evaluation.
SBI is aware of its filing obligations and shall comply with any and all SEC filing requirements in a timely manner.
