Dobson Communications Holds Annual Meeting


OKLAHOMA CITY, June 15, 2005 (PRIMEZONE) -- Dobson Communications Corporation (Nasdaq:DCEL) today held its 2005 Annual Shareholders Meeting in Oklahoma City. Shareholders approved the election of Mark S. Feighner, Justin L. Jaschke and Albert H. Pharis, Jr. to Dobson's board of directors. All previously served on Dobson's board. Shareholders also approved KPMG, LLP to serve as the Company's independent public accountants.

No vote was taken on the proposed amendment of Dobson's Amended and Restated Certificate of Incorporation to authorize additional shares of common stock and to un-designate 40,000 shares of preferred stock, previously designated as Series E preferred stock, all of which are unissued. The Company adjourned the portion of the meeting concerning the proposed amendment until 9 a.m. CT, July 12, 2005. At that time, shareholders will consider and vote on the proposed amendment. The Company has confirmed to its shareholders that it has no present intention to use the 40,000 shares of preferred stock to be undesignated for any anti-takeover purpose or to issue any such shares with more than one vote per share.
