Sparrowtech Announces Acquisition of Yuan Chien Computer Company Limited


TORONTO, Aug. 8, 2005 (PRIMEZONE) -- Sparrowtech Multimedia Corporation (Pink Sheets:SPMC) ("Sparrowtech") is pleased to announce that it has acquired 100 percent of Yuan Chien Computer Company Limited ("Yuan Chien") effective August 5, 2005.

Under the terms of the Stock Exchange Agreement, Yuan Chien becomes a wholly owned subsidiary of Sparrowtech as Sparrowtech acquired all of the issued and outstanding capital stock and registered capital of Yuan Chien from its shareholders in exchange for 10,000 shares of the common stock of Sparrowtech. For a period of up to six months (extendable to one year if agreed by both parties), the former shareholders of Yuan Chien have the option to reacquire 75 percent of Yuan Chien capital stock by tendering their 10,000 shares of Sparrowtech common stock to Sparrowtech. Should this option be exercised, the remaining 25 percent of Yuan Chien capital stock will be distributed as a pro-rata dividend to the Sparrowtech shareholders within 30 days.
