Dobson Communications Announces Notes Exchange Offer


OKLAHOMA CITY, Feb. 10, 2006 (PRIMEZONE) -- Dobson Communications Corporation (the Company) (Nasdaq:DCEL) today announced that it has commenced an offer to exchange (the Offer) up to $150 million aggregate principal amount of its outstanding Senior Floating Rate Notes due 2012 (the Original Notes) that were issued by the Company on September 13, 2005, in a private offering pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the Securities Act), for like principal amounts of Senior Floating Rate Notes due 2012 that have been registered under the Securities Act (the Exchange Notes). The Exchange Notes will be issued under the same indenture as the Original Notes.

The Offer will expire at 12:00 midnight, New York City time, on March 14, 2006, unless extended. The Offer is subject to certain customary conditions. However, the Offer will not be subject to a minimum tender condition.

The Offer is being made pursuant to a prospectus that is part of a Registration Statement filed on Form S-4 (No. 333-130228) with the Securities and Exchange Commission, which was declared effective on February 10, 2006. The Company also announced today that it has filed a Registration Statement on Form S-1 (No. 333-130227) with the Securities and Exchange Commission covering the resale of the Company's 1.50% Senior Convertible Debentures due 2025 (the Debentures) by the selling security holders named in the prospectus forming a part of such Registration Statement. The Registration Statement was declared effective on February 10, 2006.
