NorthStar Realty Finance Announces $50 Million Private Placement of Trust Preferred Securities


NEW YORK, March 13, 2006 (PRIMEZONE) -- NorthStar Realty Finance Corp. (NYSE:NRF) announced today that the Company completed a private placement of $50 million of trust preferred securities through its subsidiary, NorthStar Realty Finance Trust IV. The proceeds from the private placement will primarily be used to repay existing short-term, floating rate debt and provide the Company with liquidity to finance existing and future investments in its real estate debt, real estate securities and net lease businesses.

The $50 million of trust preferred securities have an approximate 30-year term, ending June 30, 2036. They bear interest at a fixed rate of 7.95% for the first ten years, whereupon the rate floats at three-month LIBOR plus 2.80%. These securities are redeemable at par beginning June 2011.

Mr. David T. Hamamoto, President and Chief Executive Officer, commented, "This additional trust preferred provides us with highly accretive growth capital and strengthens our balance sheet by allowing us to lock-in long-term, relatively low-cost fixed rate financing."

The securities will not be registered under the Securities Act of 1933 or any state securities laws, and will be sold in a private transaction under the Securities Act.
