EDMONTON, Alberta, Nov. 10, 2006 (PRIMEZONE) -- Mr. Dan Pacholik, the President and CEO of miNetwork Group Inc. has resigned as director of corporation and as the current President and CEO.

"The corporation has been unable to maintain an effective market and therefore to finance the on-going operations of the corporation within the current distribution of share capital," stated Mr. Dan Pacholik.

The new directors of the corporation are Mr. Luis Enrique Gutierrez and Mr. Dan Barnabic.

Mr. Enrique Gutierrez has a Bachelor of Business (CGA -- Certified General Accountant) degree and a Bachelor of Arts (Filmmaking) degree from his native Chile.

He has more than 30 years of business experience in Canada, including the ten years as a Vice president of Bell Pagette International, Canadian corporation, pioneer of paging systems in Eastern Europe, with US$20 million yearly operation. The business was sold to Australian associates.

Mr. Dan Barnabic has more than 30 years experience as a Real Estate Agent, Real Estate Developer and a Property Manager in Ontario Canada. He is author of two books, "Speculating in Real Estate" and "The Perils of Condominium Ownership." Mr. Barnabic has also developed one of the first sustainable teak plantations in Costa Rica. He acted as advisor to Bell Pagette International in negotiation for Eastern European Licenses. Mr. Barnabic is the President of Canadian Consumer's Federation, a nonprofit organization protecting consumers' issues in Canada and promoting fair credit reporting.

"We as a new Board of Directors and management team will lead new financing initiatives and a new focused direction for the corporation," stated Mr. Barnabic. "We are negotiating the acquisition of a private Alberta, Canada, corporation with a unique business and marketing model to develop and extend the VOIP systems by way of dealerships sold to individuals, initially in small centers, starting with the oil rich province of Alberta, Canada."

"We would hope that the company could become profitable in the first year of operation with this new plan and under new directorship and new management," added Mr. Gutierrez.
