Share-based incentive plan for Kemira GrowHow's key personnel

The Board of Directors of Kemira GrowHow Oyj has decided on a new
share-based incentive plan directed to the company's key personnel
as part of the Group's incentive schemes. The new plan aims to
align the goals of the Group's shareholders and key executives in
the Group, in order to raise the value of the company. A
competitive, ownership-based incentive plan has been designed as a
means to achieve the goal, and to ensure the commitment of key
management.

The incentive plan is a continuation of the current plan and its
structure and scope resemble closely the former plan that covered
years 2004, 2005 and 2006. The incentive scheme is based on three
performance periods, i.e. 2007, 2008 and 2009. The potential
reward will be paid out the year 2010. The criteria for reward
payments shall be based on financial targets that must be reached.
The potential reward shall be paid as a combination of Kemira
GrowHow shares and cash payment. 50 key personnel take part of the
incentive plan.

There is an obligation to the personnel taking part of the
incentive plan to keep any shares that they may have earned up to
the worth of their annual salary for as long as they are employed
by the company.

The maximum number of shares which may be transferred via the
incentive scheme is approximately 1,041,000 shares, 1.8 % of
company's all shares. The shares to be transferred can be in the
company's own holding or they may be obtained in public trading.
