INVITATION TO THE ANNUAL GENERAL MEETING OF CRAMO PLC ON 18 APRIL 2007


The shareholders of Cramo Plc are hereby invited to the Annual General Meeting  
of Shareholders to be held at G-18, 2nd floor Ball Room, address Yrjönkatu 18,  
00120 Helsinki on Wednesday 18 April 2007, commencing at 10 a.m. Admission of   
registered shareholders begins at 9 a.m.                                        


The following items are on the agenda:                                          

1. Matters pertaining to the Annual General Meeting according to article 8 of   
the company's articles of association                                           

2. Composition of the Board of Directors and remuneration                       

The Nomination and Compensation Committee proposes to the Annual General Meeting
that six (6) ordinary members would be elected to the Board of Directors. The   
Nomination and Compensation Committee proposes that the current members of the  
Board, Mr Gunnar Glifberg, Mr Stig Gustavson, Mr Eino Halonen, Mr Hannu Krogerus
and Mr Juhani Nurminen are elected as Board members and that Mr Esko Mäkelä is  
elected as a new member, all to serve for a term ending at the next Annual      
General Meeting. All proposed members have given their consent for their        
election. In addition, the Nomination and Compensation Committee proposes that  
remuneration for the Board of Directors is to be confirmed as follows: to the   
Chairman of the Board an annual remuneration of 45,000 EUR, to the Vice-Chairman
of the Board an annual remuneration of 31,000 EUR, and to other ordinary members
an annual remuneration of 27,500 EUR. It is proposed that 40 per cent of the    
remuneration shall be paid in shares of Cramo Plc and 60 per cent in cash. In   
addition, an attendance allowance of 1,000 EUR will be paid for each meeting of 
the Audit Committee and the Nomination and Compensation Committee.              

3. Auditors                                                                     

The Audit Committee of the Board of Directors proposes that Mr. Tomi Englund,   
Authorised Public Accountant and Ernst & Young Oy with Mr. Erkka Talvinko,      
Authorised Public Accountant, acting as the principal auditor be elected as the 
auditors of the company until the end of the next Annual General Meeting. The   
proposed auditors have given their consent for their election.                  

4. Distribution of dividend                                                     

According to the proposal by The Board of Directors a dividend of 0.50 EUR per  
share is paid for the financial year ending 31 December 2006. The dividend is   
paid to shareholders who have been registered in the shareholders' register     
maintained by the Finnish Central Securities Depository on the record date of 23
April 2007. The dividend is paid on 30 April 2007.                              


DOCUMENTS REQUIRED BY THE FINNISH COMPANIES ACT                                 

The financial statement of the company may be inspected by the shareholders from
10 April 2007 at the Company headquarters at Kalliosolantie 2, 01740 Vantaa.    
Copies of the documents shall be sent to shareholders upon request.             


PARTICIPATION AND REGISTRATION                                                  

Shareholders who are registered in the company's shareholders' register         
maintained by the Finnish Central Securities Depository by 5 April 2007 have the
right to participate in the Annual General Meeting. A shareholder who wishes to 
attend the Annual General Meeting must notify the company of his/her attendance 
no later than on 10 April 2007

Registration sent by mail, telefax or e-mail shall arrive before the expiry of  
the registration period. Possible proxies shall also be delivered before the    
expiry of the registration period. Admission to the conference room,            
distribution of ballots and inspection of proxies begins at the venue on 18     
April 2007 at 9 a.m.
