Changes in AS Eesti Telekom management and structure of the Eesti Telekom Group


At AS Eesti Telekom Council meeting on 5 December 2006 it was decided that the  
CEO of AS Eesti Telekom Jaan Männik will resign from his position and retire on 
22 May 2007. Further the Council appointed Valdo Kalm, CEO of AS EMT, to be     
the new CEO of AS Eesti Telekom as of 23 May 2007. Valdo Kalm will also continue
in his present position as CEO of AS EMT.                                       
                                                                                
At AS Eesti Telekom Council meeting on 18 April the Council decided to extend   
the Management Board of AS Eesti Telekom with the following people, effective   
from 1 July 2007:                                                               
                                                                                
Leho Tamm CFO and member of the Management Board. He will also continue in his  
present position as CFO of AS EMT                                               
Valdur Laid  Member of the Management Board. He will also continue in his       
present position as CEO of Elion Ettevõtted AS.                                 
Enn Saar Member of the Management Board. He will also continue on his present   
position as CEO of AS Microlink Eesti.                                          
                                                                                

Leho Tamm has been working as CFO of AS EMT for the last three years. He is also
council member of AS MWS and AS EMT Esindused.                                  

Valdur Laid has been working as CEO of Elion Ettevõtted AS for the last three   
years. He is also council member of AS MicroLink Eesti.                         

Enn Saar has been member of the management board of AS MicroLink Eesti since    
2004. Since 2006 he has been CEO of AS MicroLink Eesti.                         

Non of the new members of the management board owns any shares of AS Eesti      
Telekom.                                                                        

Current AS Eesti Telekom Management Board member and CFO Hille Võrk, will       
continue in this capacity until 1July 2007.                                     

It was also decided by the Council of AS Eesti Telekom that a structural change 
shall take place in the Eesti Telekom Group, effective from 1 July 2007. AS     
MicroLink Eesti, presently a 100% subsidiary of a holding company MicroLink,    
which in its turn is fully owned by AS Elion Ettevõtted, shall become a 100%    
owned direct subsidiary of AS Eesti Telekom.                                    

The Council decided to create the following strategic coordination functions at 
AS Eesti Telekom: marketing and sales, business development, technology and     
services, information technology, personnel management, jurisprudence and       
regulation and administrative management.                                       

The changes are aimed to improve the service of customers and efficiency of the 
Eesti Telekom Group, and increase cooperation between the companies.            

At the AGM of AS Elion Ettevõtted that took place on April 18th it was decided  
to recall Jaan Männik and Hille Võrk from the Council of the company. Leho Tamm 
was elected as a new member of the Council of AS Elion Enterprises.             

At the AGM of AS EMT that took also place on April 18th it was decided to recall
Jaan Männik,  Hille Võrk and Valdur Laid from the Council of the company. Mats  
Salomonsson was elected as a new member of the Council of AS EMT. Mats          
Salomonsson is also a member of the Council of AS Eesti Telekom.
