Europe Vision Plc has thus notified that Tritel Investments Inc. has agreed to transfer its entire shareholding in Europe Vision Plc to Aladdin Investment Services Ltd. Aladdin currently holds 9,000,000 shares representing 6 per cent of Europe Vision Plc. The transfer will take place on 3 July 2007 after which Aladdin's holding will be 43,920,955 Ordinary Shares, representing 31.58 per cent of total issued share capital of Europe Vision Plc. The notification from Europe Vision Plc further states that Europe Vision Plc is not subject to the City Code on Takeovers and Mergers (the "Code") as the central management is outside of the United Kingdom and there is no mandatory bid obligation following Aladdin's increase in its holding above 30 per cent of the voting rights of Europe Vision Plc. It may finally be noted that the notification published by Europe Vision Plc states that Aladdin Investment Services Ltd. is the parent company of Tritel Investments Inc. Europeinvestment A/S has been informed by Aladdin Investment Services Ltd. that this information is erroneous and that Aladdin Investment Services Ltd. has requested a correction. The ownership and control of Aladdin Investment Services Ltd. and Tritel Investments Inc. has thus not changed, and Aladdin Investment Services Ltd. is thus still in the control of the Khatib family while Tritel Investments Inc. is not in the control of the Khatib family. The notification from Europe Vision Plc has not caused the Board of Directors of Europeinvestment A/S to change its view as to the realistic net proceeds in connection with Europeinvestment A/S' sale of its shares in Europe Vision Plc.
