Ruukki Group Plc has today received an announcement pursuant to Securities
Market Act regarding a change in shareholding.
Nordea Bank AB (publ) (Swedish registration number 516406-0120) announces that
its Finnish subsidiary Nordea Pankki Suomi Plc (business ID 1680235-8) has
purchased 15,000,000 new RUG1VN0207 shares.
As a result of the purchase, and taking into account the share lending
agreement made on June 25, 2007 and announced on June 26, 2007, according to
which 9,500,000 Ruukki Group Plc's RUG1V shares has been lent forward on June
29, 2007, Nordea Pankki Suomi Plc's ownership in Ruukki Group Plc has exceeded
three twentieth (3/20) of the share capital and voting rights, and is about
18.41 % (53,345,791 shares).
Proportions of share capital and voting rights are calculated taking into
account the decision by the board of Ruukki Group Oyj to issue 130,000,000
shares made on June 21, 2007 and assuming, that the additional share issuance of
19,500,000 shares decided by the board of Ruukki Group is concluded in full.
Nordea Pankki Suomi Plc has entered into share forward contracts that will
expire in July 2007, December 2007 and January 2008. Nordea Pankki Suomi Plc has
on June 26, 2007 sold 15,000,000 Ruukki Group Plc's share forward contracts that
will expire in December 2007. As and when the December 2007 forward contracts
expire, the ownership will fall below three twentieth (3/20). With reference to
the announcement made on June 26, 2007, as and when the 21,020,000 Ruukki Group
Plc's January 2008 share forward contracts sold on June 25, 2007 expire, the
ownership of Nordea Pankki Suomi Plc will fall below one tenth (1/10).
Ruukki Group Plc's registered number of shares at the moment is 140,234,022 and
share capital is 23,642,049.60 euros.
