Nordea Bank AB (publ) - Changes in share capital and votes during June 2007

Pursuant to the new chapter 4 section 9 of the Swedish Financial
Instruments Trading Act (1991:980 and 2007:365) and article 15 of the
Transparency Directive (Directive 2004/109/EC) Nordea has to disclose
the total number of voting rights and capital at the end of the
calendar month during which a change has occurred. During June 2007
the following changes have occurred.

On 8 June 2007 the share capital of Nordea Bank AB (publ) was
increased by 3,120,000 euro by a new issue of 3,120,000 C-shares.
After the increase the total share capital of Nordea Bank AB (publ)
is 2,597,228,227 euro. On 15 June 2007 Nordea acquired all the
C-shares, which subsequently were converted into ordinary shares on
18 June 2007. After the conversion the total amount of outstanding
shares in the company is 2,597,228,227 ordinary shares.
