Purchase of shares in newspaper Maaleht / explanation of the 12 July 2007 article posted on Postimees Online


An article entitled “AS Ekspress Grupp is not the owner of AS Maaleht” is
misleading. AS Ekspress Grupp has never announced that they are already the
owner of AS Maaleht, but that they have concluded a contract for purchasing the
shares of AS Maaleht, for the entry into force of which approval is required
from the Competition Board. 
On 11 June 2007, AS Ekspress Grupp notified the Stock Exchange that AS Ekspress
Grupp had concluded a preliminary contract for purchasing 51% of the shares of
AS Maaleht, and on 12 June 2007 that the number of shares to be purchased is
93%, and that the final number of shares will become clear in the near future.
In a stock exchange announcement dated 12 June 2007, AS Eesti Ekspress declared
that consent from the Competition Board is necessary for concluding the
transaction. 
The other party to the AS Ekspress Grupp transaction is OÜ Raamatukoda, and the
cost of the transaction is MEEK 52. By now, Raamatukoda has acquired 100% of
the shares in AS Maaleht and AS Ekspress Grupp has submitted a concentration
application to the Competition Board concerning which, if the proceeding is
limited to the first stage, a decision will be made during the month of July. 
OÜ Raamatukoda is a company controlled by Ülar Maapalu, lawyer for AS Ekspress
Grupp.
