Ruukki Group Plc has today received an announcement pursuant to Securities
Market Act regarding a change in shareholding.
Nordea Bank AB (publ) (Swedish registration number 516406-0120) has previously
announced that its Finnish subsidiary Nordea Pankki Suomi Plc (business ID
1680235-8) made a share lending agreement on June 25, 2007 according to which
9,500,000 Ruukki Group Plc's RUG1V shares were lent forward on June 29, 2007.
Nordea Bank AB (publ) announces that the lent 9,500,000 shares will return to
Nordea Pankki Suomi Plc on July 18, 2007.
Nordea Pankki Suomi Plc owns 63,246,853 Ruukki Group Plc's shares. Nordea Pankki
Suomi Plc's ownership in Ruukki Group Plc is therefore 21.81 % and has exceeded
one fifth (1/5) of the share capital and voting rights.
Proportions of share capital and voting rights are calculated taking into
account the additional share issuance of 19,500,000 shares. The total number of
shares used in the announcement is 290,034,022.
Nordea Pankki Suomi Plc has entered into share forward contracts regarding
Ruukki Group Plc's shares of which 2,525,000 will expire in July 2007, 1,973,400
will expire in September 2007, 15,680,000 will expire in December 2007 and
43,541,100 will expire in January 2008. As and when the December 2007 forward
contracts expire, Nordea Pankki Suomi Plc's ownership will fall below three
twentieth (3/20). As and when the January 2008 share forward contracts expire,
the ownership will fall below one twentieth (1/20).
Ruukki Group Plc's registered number of shares at the moment is 270,534,022 and
share capital is 23,642,049.60 euros.
