On registration of amendments to the Articles of Association in the Register of Enterprises


On 7 August 2007 City Service AB registered the amendments to the Articles of
Association in the Register of Enterprises, following which the amount of the
authorised capital was increased.  The authorised capital of City Service AB
now amounts to LTL 19.110.000; it is divided into 19.110.000 ordinary shares
with a nominal value of LTL 1. 

The decision to increase the authorised capital by 2.110.000 ordinary shares
with a nominal value of LTL 1 was taken by Extraordinary Shareholder Meeting on
14 May 2007, before the approval of City Service AB offering and listing
prospectus (approved by Lithuanian Securities Commission on 17 May 2007) and
before the start of public offer of the shares (21 May 2007). Increase of the
authorised capital from LTL 17.000.000 to LTL 19.110.00 is revealed in the
prospectus and its summary, also was specified the amount of issued new shares,
their nominal value and a subscription price of new shares, which was equal to
final price of the offer shares, LTL 12,95 each. The prospectus also specified
that whole new share issue will be subscribed by City Service AB major
shareholder Rubicon Group UAB (enterprise code 300021944), thus the major
amount of Rubicon Group UAB income from the publicly offered and sold shares
circles back to City Service AB. 

The aggregate net proceeds received by City Service AB from the issue are used
for the investments and corporate acquisitions in Central - Eastern Europe, as
planned. 

Newly issued City Service AB shares will be listed on the Main list of Vilnius
Stock Exchange. After this the City Service AB shares traded on the stock
exchange will amount to 25% of the authorised capital. 

City Service AB controls the largest facility management company group in the
Baltic States. The Group consists of 19 companies operating Lithuania, Latvia,
Russia and Ukraine.  The building area maintained by the Group amounts to 9.5
million square metres. By the end of this year, the building area maintained by
the Group is planned to increase to 10.7 million square metres. 

City Service net profit last year increased by 66.1% and amounted to LTL 7.5
million. The total income of the group in 2006 was LTL 113.6 million. It is
forecast that this year the turnover of City Service group will increase
twofold with the EBITDA indicator at LTL 17.8 million and the net profit —  LTL
13.1 million.
