PTA: registration of merger in the Commercial Register and change of business name

AS Silvano Fashion Group (previous business name PTA Grupp AS, registry code
10175491, address Tartu road 2, Tallinn, 10145; hereinafter: the “Company”)
hereby notifies that the merger of the Company and its 100% subsidiary AS
Silvano Fashion Group (registry code 11127815) was registered in the Estonian
Commercial Register on 24.08.2007. At the same time, the Company's new business
name AS Silvano Fashion Group and the new version of the Articles of
Association of the Company were registered. 

The subsidiary of the Company AS Silvano Fashion Group (registry code 11127815)
merged with the Company by making the merger entry and was deleted from the
Commercial Register on 24.08.2007. As a result of the merger, all assets of the
subsidiary were transferred to the Company. 

The merger agreement between the Company and its subsidiary AS Silvano Fashion
Group (registry code 11127815), dated 13.04.2007, was approved on 31.05.2007 by
the extraordinary general meeting of shareholders. 

The merger of the Company and its subsidiary was part of the restructuring plan
of the Company, which has been previously published to the shareholders of the
Company. The strategy of the new group entails centralised management of the
group's main processes, which will be carried out at the level of holding
company listed in Tallinn and the Warsaw Stock Exchange. Grouping the strategic
management functions to the level of a listed holding company ensures better
transparency and higher effectiveness of the management structure. 

These changes in the group's structure will not affect its economic activities
and the interests of its shareholders.
