BasWare to acquire invoice automation solution provider Digital Vision Technologies Ltd


BASWARE CORP. STOCK EXCHANGE RELEASE SEPTEMBER 10, 2007

BasWare Corporation ('BasWare') has today agreed on an acquisition of the
entire share capital of Digital Vision Technologies Ltd ('Digital Vision'). The
acquisition price amounts to approximately EUR 9.2 million and will be paid in
cash in two parts. A total of EUR 9 million was paid in conjunction with the
completition of the acquisition. The remainder will be determined by Digital
Vision's net assets on the Interim Financial Statements on August 31, 2007 and
will be paid by the beginning of October 2007. The acquired company is owned by
local investors and the current management of the company that will also
continue to be employed by the company. The company's net assets totaled over
EUR 1 million at the end of the fiscal year, ending on March 31, 2007 and it is
estimated that there has been no substantial change to those by the time of the
acquisition. The acquisition increases BasWare's net sales by approximately EUR
2 million in 2007. 
  
Digital Vision is a UK-based software solution consultancy specializing in data
capture and invoice automation. Digital Vision's solutions are tailored
customer-specifically and, in addition to the company's own modules, include
DICOM Group Plc's scanning and data capture technology and Contempus invoice
automation solution. Digital Vision has approximately 70 customers, the largest
ones being Premier Farnell, Barclays Bank, HBOS, DSG Retail, Alliance &
Leicester and Pentland Brands. 

In accordance with BasWare's acquisition strategy, the acquisition strengthens
BasWare's market position in the United Kingdom and extends BasWare's customer
base in the area. The acquisition also extends BasWare's expertise in scan &
capture solutions. Digital Vision's current organization will be combined with
BasWare's UK subsidiary. This will create a strong organization of
approximately 70 employees and with that organization it is possible to achieve
a market-leading position in the United Kingdom in Enterprise Purchase to Pay
and scan & capture solutions. BasWare offers data capture solutions as part of
its Enterprise Purchase to Pay portfolio. The data capture solutions extracts
key data from paper invoices for further processing, thus streamlining
electronic invoice processing. 

Digital Vision's net sales totaled EUR 6.7 million (at the exchange rate of
August 31, 2007) in the fiscal year, ending on March 31, 2007. Growth compared
with the previous year was 27 percent and the company's operating profit was
positive. Digital Vision and its subsidiaries have a total of 52 employees, 41
of which work at Cheshire, United Kingdom and 11 in Shimla, India. The office
in India was opened in the beginning of 2007 and realizes cost effectively
development work related to UK customer projects. In the future, the aim is to
transfer also more extensive tasks to the India office.

The expertise can be utilized within the global partner agreement we recently
