Securitas Direct s Board of Directors evaluates the offer from ESML Intressenter

The Board of Securitas Direct AB (Midcap/SDIR) has noted the offer
from ESML Intressenter to acquire all outstanding shares of series B
in the company for a price of SEK 26 per share and all outstanding
warrants for a price of SEK 8.60 per warrant.

At an extraordinary board meeting, the Board has decided to appoint a
committee consisting of the independent members Ulf Mattsson,
chairman of the Board and Anna Lindström, to evaluate the offer from
ESML Intressenter and to make the decisions necessary due to the
current situation.

The independent committee of the Board has engaged SEB Enskilda as
financial advisors to provide a fairness opinion on the offer in
conjunction with the take-over rules of the OMX Nordic Exchange
Stockholm. The independent committee of the Board has also engaged
the law firm Mannheimer Swartling as legal advisors.

In accordance with the regulations of the take-over rules of the OMX
Nordic Exchange Stockholm, the independent committee of the Board
will make a recommendation to the shareholders of Securitas Direct
and to option holders in the Company in a timely manner prior to the
end of the acceptance period.
