NURMINEN LOGISTICS PLC STOCK EXCHANGE ANNOUNCEMENT 2 JANUARY 2008
ANNOUNCEMENT PURSUANT TO CHAPTER 2, SECTION 10 OF THE SECURITIES MARKETS ACT
The following information regarding changes in holdings, as specified below, has
become to the knowledge of Nurminen Logistics Plc (”Company”). The changes in
holdings are related to the implementation of the overall arrangement set forth
in the main agreement entered on 7 September 2007 between John Nurminen Ltd
and the main owners of the Company and, in part, the Company. In the overall
arrangement, the Company was, inter alia, the receiving company in John Nurminen
Ltd's full demerger, so that John Nurminen Ltd's logistics business was
transferred into the Company on 1 January 2008 and a total of 9,999,989 new
shares of the Company were given to the shareholders of John Nurminen Ltd as
demerger consideration. As a part of the overall arrangement the Company also
decided, inter alia, on combining of the share classes and on a share issue
without consideration to the owners of the Company's former K-class shares.
In accordance with Chapter 2, Section 9 of the Securities Markets Act, Nurminen
Logistics Plc hereby informs the following:
- The holding of Juha Nurminen in Nurminen Logistics Plc will exceed 66.7 %
(2/3) of the shares and voting rights attached to the shares;
- The holding of AutoCarrera Oy in Nurminen Logistics Plc will fall below 5 % of
the shares and voting rights attached to the shares;
- The holding of Maturiala Oy in Nurminen Logistics Plc will fall below 5 % of
the shares and voting rights attached to the shares;
- The holding of Jari Bachmann in Nurminen Logistics Plc will fall below 5 % of
the shares and voting rights attached to the shares
- The holding of Sanni Bachmann in Nurminen Logistics Plc will fall below 5 % of
the shares and voting rights attached to the shares;
- The holding of Kirta Forsström in Nurminen Logistics Plc will fall below 5 %
of the shares and voting rights attached to the shares;
- The holding of Markku Tuuli in Nurminen Logistics Plc will fall below 5 % of
the shares and voting rights attached to the shares.
The holdings of the above mentioned shareholders from the shares and voting
rights in Nurminen Logistics Plc are as follows:
