Extraordinary general meeting of shareholders

The management board of AS Ekspress Grupp (registry code 10004677, address
Narva mnt 11e, 10151 Tallinn) calls an extraordinary general meeting of
shareholders on 21 January 2008 beginning at 11.00. The meeting will be held in
Tallinn, Narva mnt 11e, on the 6th floor. 

According to the 7 January 2008 resolution of the supervisory board of AS
Ekspress Grupp, the agenda of the general meeting is as follows: 

1.	Amendment of the articles of association.


In connection with the intention to work out the conditions of share options
for the members of the management board of Ekspress Grupp and the members of
the management board of the group's companies and the employees thereof, the
supervisory board of AS Ekspress Grupp makes a proposal to the shareholders to
amend the articles of association of the company as follows: 
 
To add to the articles of association clause 2.7 in the following wording: 

“The supervisory board of the Company has the right in the period from
22.01.2008 to 21.01.2011 to increase the share capital of the Company by up to
470 000 (four hundred and seventy thousand) shares. The shares to be issued may
be of the same type as the current shares. Upon issue of new shares on the
basis of the resolution of the supervisory board, the shareholders of the
Company do not have the pre-emptive right to subscribe for the shares”. 

The list of the shareholders with the right to vote in the general meeting
shall be fixed on 11 January 2008 at 23.59 p.m. Registration for the meeting
begins on the date of the meeting at 10.30 at the place where the meeting is
held. To register, please present an identity document, a representative of a
shareholder should present an authorisation document or other document
evidencing the right of representation.
