Proposal by Componenta Corporation's Board of Directors to the Annual General
Meeting 

The Board of Directors of Componenta Corporation has today decided to convene an
Annual General Meeting to be held on 25 February 2008. Notice of the Annual
General Meeting will be published later. The Board proposes that the following
matters are considered at the meeting:

PROPOSAL BY THE BOARD OF DIRECTORS TO AUTHORIZE THE BOARD OF DIRECTORS TO
RESOLVE ON THE REPURCHASE OF OWN SHARES

The Board of Directors proposes that the Annual General Meeting to be held on 25
February 2008 authorize the Board of Directors to resolve on the repurchase of
own shares using the unrestricted shareholders' equity of the company. The
authorization is proposed to cover a maximum of 1,000,000 own shares.

The shares shall be repurchased through public trading, for which reason the
shares are repurchased otherwise than in proportion to the holdings of the
shareholders. The purchase of the shares shall be based on the market price of
Componenta's share in public trading. The repurchases shall be carried out on
the Helsinki Stock Exchange in accordance with its rules and regulations.
The Board of Directors may not implement the authorization to repurchase own
shares if, following the repurchase, the company or its subsidiary would possess
or hold as pledge more than ten (10) per cent of all shares of the company.

The authorization is in force for a period of 18 months from the resolution by
the General Meeting.

The Board of Director further proposes that, in connection with the granting of
the authorization, the corresponding authorization by the 2007 Annual General
Meeting to the Board of Directors on the repurchase own shares be revoked.
