M+M starts sole Autodesk distribution in Romania
- Strong growth and above-average returns estimated
- Purchase price at EBIT multiple of 5 to 6 and variable component

Wessling, February 6, 2008 Mensch und Maschine Software SE (MUM - ISIN
DE0006580806), a CAD/CAM specialist company listed on the Prime Standard,
starts sole Autodesk distribution in Romania with immediate effect. For
this purpose, the newly created Man and Machine Romania SRL, located in
Bucharest, takes over the business and staff from existing distributor A&C.

With approx. 21 Million citizens and a strongly growing economy
(particularly in the areas of construction and infrastructure), Romania is
one of the most attractive markets in Eastern Europe, where, till now, M+M
has only been present in Poland.

The business in Romania in 2008 is expected to contribute sales amounting
to approx. EUR 8 mln and an operating profit EBIT in the amount of approx.
EUR 0.6 mln. Due to the exclusive market position, the targeted 7.5% EBIT
margin is higher than the average 4-5% normally achievable in the M+M
trading segment. The expectation for mid term growth is 30 percent per
annum, twice as high as the average in the other countries.

M+M is investing immediately approx. EUR 3 mln, an amount which can rise by
up to one Million during the next three years by a performance dependent
component. The valuation multiple is in the order of magnitude of 5 to 6 on
the initial EBIT, whilst the return on investment is estimated to be four
to five years.

This acquisition is the fulfilment of our long-cherished wish to
participate more than before, in the strong growth opportunity of the
Emerging Markets in Eastern Europe M+Ms CEO Adi Drotleff is pleased to
comment. We have now extended our European presence to 16 countries,
enabling us more than ever to use economy of scale effects in management,
marketing and administration. The preparations for the start of our
business in Bucharest only took a few weeks, due to embedding in our
existing SAP and Logistic systems.
