Ratos: Medifiq Healthcare acquires Medisize Medical


Ratos's subsidiary Medifiq Healthcare has acquired 100% of Medisize
Medical, which is a division of the listed Swiss company Medisize
Holding. The purchase price amounts to SEK 610m. Willem van den
Bruinhorst has been appointed as the CEO of the new group Medifiq
Healthcare/Medisize Medical.

Medifiq Healthcare has concluded an agreement on acquisition of 100%
of the Swiss company Medisize Medical. The purchase price amounts to
SEK 610m (Enterprise Value). Medisize Medical operates within medical
technology and has three main areas: Airway Management (filters and
humidifiers etc.), Pharma Packaging (flexible medical bags, bottles)
and Medical Devices (adapters, inhaler apparatus, infuser, array
tubes). Production facilities are located in the Switzerland, the
Netherlands, Ireland and Czech Republic. The company's sales 2007
amounted to SEK 620m with an operating profit (EBITA) of SEK 60m.

The acquisition of Medisize Medical means that a new group will be
formed with annual sales of approximately SEK 970m and approximately
1,000 employees.

provide major synergy gains within distribution, production and
administration."

In 2006, Ratos acquired 78% of the Finnish company Medifiq
Healthcare, a world-leading player in development and manufacture of
medical devices for delivery and administration of drugs and
contraceptives, as well as blood sampling equipment and medical
devices for healthcare providers. Medifiq Healthcare has some 430
employees in Finland and the UK.

In conjunction with the acquisition Ratos will provide equity of SEK
385m whereby Ratos's holding in the new group increases to 92%.

Willem van den Bruinhorst, currently CEO of Medisize Medical, has
been appointed as CEO of the new group.
