Schwandorf, 2 April 2008. Schmack Biogas AG has yesterday successfully
placed 453,350 registered shares in a capital increase from its authorised
capital against a cash contribution, ex rights. Following entry of the
capital increase in the Commercial Register, which is expected by the end
of April / beginning of May, the company’s share capital will increase by
EUR 453,350 from EUR 5,523,514 to EUR 5,976,864. The capital increase was
resolved with the consent of the Supervisory Board on 1 April 2008. The
capital increase against cash contribution amounts to around 8.2 % of the
share capital to date, and lies therefore below the legally permissible
upper limit of 10 %. This is due to the capital increase already effected
within the scope of the transaction to increase the interest held in
Stelzenberger Biogas GmbH in July 2007, and therefore within the one-year
period. The issue price lay at EUR 15.67 per share which corresponds to
issue proceeds of around EUR 7.1 million which will primarily be used for
the further development of gas feed-in projects and to continue with the
company’s internationalisation strategy. The shares were bought by Emerald
Technology Ventures, one of the leading global investment funds in the
renewable energies sector.
