Proportations of Voting Rights pursuant to § 21 para. 1 WpHG

March 2008
Companies of the Greenlight Group informed us according to section 21,
paragraph 1 of the German Securities Trading Act that as of March 19, 2008
they have exceeded the threshold of 3% of the voting rights in LANXESS AG
and hold 3.21% of the voting rights. This corresponds to 2,667,200 voting
rights. The details result from the following information:

a)
Greenlight Capital Qualified, LP, New York, USA, informed us according to
section 21 para. 1 WpHG that as of March 19, 2008 they have exceeded the
threshold of 3 % of the voting rights in LANXESS AG, Leverkusen, and hold
3.21 % of the voting rights. This corresponds to 2,667,200 voting rights.
2.17 % of such voting rights are deemed to be the voting rights of the
above mentioned company pursuant to section 22 para. 2, first sentence,
WpHG. This corresponds to 1,803,400 voting rights.

b)
Greenlight Capital, LP, New York, USA, informed us according to section 21
para. 1 WpHG that as of March 19, 2008 they have exceeded the threshold of
3 % of the voting rights in LANXESS AG, Leverkusen, and hold 3.21 % of the
voting rights. This corresponds to 2,667,200 voting rights. 2.94 % of such
voting rights are deemed to be the voting rights of the above mentioned
company pursuant to section 22 para. 2, first sentence, WpHG. This
corresponds to 2,446,280 voting rights.

c)
David Einhorn, USA, informed us according to section 21 para. 1 WpHG that
as of March 19, 2008 he has exceeded the threshold of 3 % of the voting
rights in LANXESS AG, Leverkusen, and hold 3.21 % of the voting rights.
This corresponds to 2,667,200 voting rights.
1.90 % of such voting rights (this corresponds to 1,582,480 voting rights)
are deemed to be the voting rights of David Einhorn pursuant to sections 22
para. 1, first sentence, no. 6 and 22 para. 1, second sentence, WpHG and
1.30 % of such voting rights (corresponds to 1,084,720 voting rights)
pursuant to section 22 para. 1, first sentence, no. 1 WpHG. With respect to
all 3.21 % of the voting rights the attribution of voting rights
(corresponds to 2,667,200 voting rights) pursuant to section 22 para. 2,
first sentence, WpHG is fulfilled.

d)
DME Advisors, L.P., New York, USA, informed us according to section 21
para. 1 WpHG that as of March 19, 2008 they have exceeded the threshold of
3 % of the voting rights in LANXESS AG, Leverkusen, and hold 3.21 % of the
voting rights. This corresponds to 2,667,200 voting rights. 0.41 % of such
voting rights (this corresponds to 342,600 voting rights) are deemed to be
the voting rights of the above mentioned company pursuant to section 22
para. 1, first sentence, no. 6 WPHG and 2.79 % of the voting rights are
deemed to be the voting rights (this corresponds to 2,324,600 voting
rights) of the above mentioned company pursuant to section 22 para. 2,
first sentence, WpHG.

e)
Greenlight Capital, LLC, New York, USA, informed us according to section 21
para. 1 WpHG that as of March 19, 2008 they have exceeded the threshold of
3 % of the voting rights in LANXESS AG, Leverkusen, and hold 3.21 % of the
voting rights. This corresponds to 2,667,200 voting rights. 3.21 % of such
voting rights (corresponds to 2,667,200 voting rights) are deemed to be the
voting rights of the above mentioned company pursuant to section 22 para.
2, first sentence, WpHG, of which 1.30 % of the voting rights (corresponds
to 1,084,720 voting rights) are also deemed to be the voting rights of the
above mentioned company pursuant to section 22 para. 1, first sentence,
no.1.

f)
Greenlight Capital, Inc., New York, USA, informed us according to section
21 para. 1 WpHG that as of March 19, 2008 they have exceeded the threshold
of 3 % of the voting rights in LANXESS AG, Leverkusen, and hold 3.21 % of
the voting rights. This corresponds to 2,667,200 voting rights. 1.49 % of
such voting rights (corresponds to 1,239,880 voting rights) are deemed to
be the voting rights of the above mentioned company pursuant to section 22
para. 1, first sentence, no. 6, and 1.72 % of the voting rights
(corresponds to 1,427,320 voting rights) are deemed to be the voting rights
of the above mentioned company pursuant to section 22 para. 2, first
sentence, WpHG.
