PROHA'S RESULT NEGATIVELY AFFECTED BY FORMER CEO'S SEVERANCE PAYMENT

In its meeting on April 7th, 2008 the Proha Board of Directors decided to make
a provision for the severance payment to the former CEO of the company, Pekka
Pere, which is equivalent to two years of salary including fringe benefits,
totalling in EUR 678,512. 

Negotiations regarding the severance payment and other relating issues were
ended without result. The severance payment will be assigned in total to the
accounts of the second quarter. 

The costs relating to restructuring activities in second quarter of 2008 will
bring the quarterly result to loss and will have a negative impact to the
annual result. Based on the above, the company will have a challenge to meet
the previously released prospects for 2008. 

In addition, the Proha Board of Directors approved the conditions of the CEO
agreement of the new CEO Ilari Koskelo appointed on March 19th, 2008. In
accordance with the CEO agreement, the compensation paid to the CEO is composed
of an annual salary of EUR 12, a company-paid mobile phone and merit payment to
be specified by the Board of Directors. 

The merit payment is based on targets that are connected to the profitability
of the company and its sub-parts or the successful completion of a structural
reorganization of the company. The merit pay cannot surpass the amount of EUR
150,000 for a time period of twelve months. The term of notice for the CEO is
one month. The CEO agreement does not include any termination payment.
