Eindhoven, June 02, 2008 – Navigator Equity Solutions N.V. announces the
acquisition of 100% of The Ascendo Group N.V. for a purchase price of 2.8m
euros. The transaction was executed with the approval of the Supervisory
Board. Through its operational subsidiaries Ascendo Management GmbH
(100%)and ACON Actienbank AG (64.9%), The Ascendo Group N.V. provides a
broad range of financial services to German and international costumers.

With this transaction Navigator Equity Solutions N.V. further broadens its
operational focus and develops from an industrial holding company focused
on acquiring majority participations into a financial services company with
a full range of services dedicated to the small and mid cap market. In
addition to its existing private equity business, Navigator Equity
Solutions N.V. will add (i) investment advisory, (ii) management
consultancy and interim management services, as well as (iii) investment
banking activities to its lines of business. At the same time Navigator
Equity Solutions N.V. will significantly expand its personnel resources and
such its scope in the market place. It is intended that the existing
management board of The Ascendo Group N.V. will join the Navigator Equity
Solutions N.V. management board after the finalisation of the purchase. The
transaction is subject to the approval of an Extraordinary General Meeting
of shareholders.

Following the transaction, the company intends to execute on a shareholder
value programme by means of a substantial share buy back programme. It is
envisaged to return an amount of 7 to 10m euros to shareholders over the
next 3 years within such a programme. In addition Navigator Equity
Solutions N.V. plans to follow a shareholder friendly dividend policy in
the future und intends to distribute between 30 to 50% of the annual net
income in the coming years.
