The resolution passed by the annual general meeting on 29 August 2007 on
the transfer of the shares held by the remaining shareholders (minority
shareholders) of Eurohypo AG to Commerzbank Inlandsbanken Holding GmbH,
Frankfurt/Main, (principal shareholder) for an appropriate cash
consideration to the amount of EUR 24.32 per share was today recorded in
the company’s record in the Commercial Register of the administrative court
of Frankfurt/Main.

With entry of the transfer resolution in the Commercial Register all
minority shares of Eurohypo AG have effectively passed by operation of law
to Commerzbank Inlandsbanken Holding GmbH. Pursuant to this, the shares
held by minority shareholders substantiate exclusively entitlement to the
aforementioned cash consideration.

The annual general meeting provisionally scheduled for 29 August 2008 is
cancelled.

Eurohypo AG will shortly be withdrawn from the stock exchange.
