Solar Nederland B.V. has entered into negotiations concerning the acquisition of Vegro B.V.

Solar A/S' Dutch subsidiary Solar Nederland B.V., which operates as an
electrical and HWS technical wholesaler with 23 Drive-in branches and two
central warehouses, has entered into negotiations concerning the acquisition of
the shares in the Dutch HWS wholesaler Vegro B.V. 

If the acquisition is realised
• Solar Nederland B.V. will be established as one of the leading nationwide
technical wholesalers within electrical, heating and sanitary components and
solutions. 
• The position will be strengthened in a market that is characterised by
technical installation enterprises with both electrical and HWS expertise. 

Final completion of the acquisition is subject to the usual conditions,
including approval by relevant authorities. Closing is expected in September. 

Solar's CEO Flemming H. Tomdrup says:
"The HWS wholesale enterprise Vegro B.V., which was established in 1959 and has
370 competent employees, is one of the leading wholesalers of heating equipment
and sanitary articles in the Netherlands. For a number of years, Vegro has been
on Solar's top list of potential combination candidates in the Netherlands due
to its market position and competences. In combination with our enterprise
Solar Nederland B.V. we will create one of the leading technical wholesalers
within electrical, heating and sanitary components and solutions in the
Netherlands.” 

Financial consequences
The financial consequences of the acquisition will be clarified in connection
with the expected closing of the acquisition
