Frankfurt am Main, 31 July 2008 – The Klöckner-Werke AG Management Board,
Duisburg, with the approval of the Supervisory Board, resolved to increase
the share capital of the company using existing Authorised Capital II by
€42,617,344.00 to €277,187,379.20 by issuing 8,323,700 new bearer shares at
an issue amount of €17.30 per share. The total issue amount of the new
shares thus totals €144,000,010.00. The share capital of Klöckner-Werke AG
is now divided into 54.138.160 shares.

The right of subscription of the shareholders is excluded. Salzgitter
Mannesmann GmbH was authorised to subscribe to the new shares. As
contribution in kind Salzgitter Mannesmann GmbH has transferred to the
company all stakes in Salzgitter Mannesmann PET-Technologie GmbH,
Salzgitter (AG Braunschweig HRB 201079), and PET International GmbH,
Hamburg (AG Hamburg HRB 104271). The new shares are entitled to profits for
the 2008 financial year. The new shares have the securities identification
number A0WMQY / ISIN DE000A0WMQY3. No application has been made for
approval of the shares to the regulated market.

Company additions optimise Klöckner-Werke AG product portfolio


Frankfurt am Main, 31 July 2008 – Klöckner-Werke AG is welcoming new
subsidiaries. The companies of the former SIG-Beverages Group, which were
acquired at the beginning of the year by Salzgitter, are being transferred
into the Klöckner Group as of 1 August 2008. This was resolved today by the
Management and Supervisory Boards.

'With the new companies we are supplementing our technology expertise in
the area of PET blow moulding technology. This closes the last link in the
chain as all-round provider in the strongly growing market of filling and
packaging technology. In particular it strengthens the competitive position
of KHS, our most important subsidiary', comments Roland Flach, Chairman of
the Klöckner-Werke AG Management Board.

As of now, the new companies will be operating with the KHS designation
preceding the company name. This relates primarily to KHS Corpoplast, KHS
Asbofill, KHS Plasmax and KHS Moldtec. With their specialist expertise,
approximately 500 employees and good income (2007 sales: €141 million),
these companies will contribute to success within the Klöckner Group.

PET technology stands for bottle designs and concepts, packaging solutions,
perfect light-weight bottles as a result of precise stretch blow
technology, barrier properties, systems with low energy consumption and
flexible linear aseptic filling with sensitive products. This also includes
blocks from blowing machines and fillers which are to be delivered to our
customers as early as November 2008.
