Negotiations with Vodafone regarding purchase of a part of TDC A/S' shares in Polkomtel

Copenhagen - Nordic Telephone Company ApS' take-over of TDC A/S on February 1,
2006, entailed a change of ownership which entailed that TDC offered its 19.6 %
stake in Polkomtel for sale to the other shareholders in Polkomtel. Reference
is made to TDC's stock exchange announcement of February 2. On 10 March 2006
the Polish shareholders (KGHM Polska Miedz, PKN Orlen, Polskie Sieci
Elektroenergetyczne and Weglokoks) have agreed to acquire their proportionate
part of the shares. Reference is made to TDC's stock exchange announcement of
March 10, 2006. 

TDC today announces that negotiations with Vodafone are ongoing regarding
Vodafones possible purchase of their proportionate part of the Polkomtel shares
offered for sale by TDC. 

TDC can not at this point in time give further information about if and when
the negotiations may be completed, and whether or not this will lead to a
transaction.
