The General Meeting of Leica Camera AG on November 20, 2007 has resolved to
transfer the shares of the Company’s minority shareholders to the majority
shareholder, ACM Projektentwicklung GmbH, Salzburg, against a compensation
in cash ('squeeze-out'). Several actions for avoidance and annulment of
this resolution have been brought before the Frankfurt Superior Court (cf.
ad-hoc announcement of January 8, 2008, 1.37 p.m.). Leica Camera AG has
conducted settlement negotiations with the plaintiffs. No agreement could
be reached. Therefore Leica Camera AG, in accord with ACM
Projektentwicklung GmbH, today has resolved to break off the settlement
negotiations and to cancel the squeeze-out. Given these circumstances,
Leica Camera AG will take appropriate civil litigation measures.
