AS “Latvijas Krājbanka”(JSC) has concluded contract on acquisition of SIA “Center Credit” capital shares

The AS“Latvijas Krājbanka” has concluded purchase contract (hereinafter
referred to as the Purchase contract) with Mr. Aleksandrs Surikovs on
acquisition of 1020 (one thousand twenty) or 51% of capital shares (hereinafter
referred to as the Capital shares) in the limited liability company “Center
Credit” (hereinafter referred to as the Company) reg. No. 40103185252 (Latvia). 
The Company, in its turn, has concluded contract with the company “Odiseja”
(the Ukraine), the company “Olimpija” (the Ukraine) and with the limited
liability company “Asset management company “Trast Center”” (the Ukraine) for
the acquisition of 100% capital shares of the limited liability company
“Spozhiv Servis” registered in the Ukraine. 

According to the Purchase contract the total price of the Capital shares
amounts to USD 717060 (according to the currency exchange rate set by the Bank
of Latvia on the day of the Purchase contract conclusion the total amount
comprised 342755 LVL or 487696 EUR), the nominal value of one share is 1 LVL.
At present the registered and paid-in stock capital of the Company comprises
2000 LVL, but according with terms of the Purchase contract the stock capital
will be increased for USD 2000000 (according to the currency exchange rate set
by the Bank of Latvia on the day of the Purchase contract conclusion the total
amount comprised 956000 LVL or 1360265 EUR) without any changes in
participants` composition and proportions. AS “Latvijas Krājbanka” will
participate in the increase of the Company's stock capital with USD 1020000
(according to the currency exchange rate set by the Bank of Latvia on the day
of the Purchase contract conclusion the total amount comprised 487560 LVL or
693 735 EUR). The transaction will be made after the permission from the
Ukrainian Antimonopoly Committee is received, and all procedures and
settlements, stipulated in the Purchase contract, are performed, but not later
than within two months after the Purchase contract conclusion day. 

AS "Latvijas Krājbanka" provides different financial services both for private
persons and legal entities, and it has the widest client service centre network
in Latvia. With the acquisition of 51% of capital shares of SIA “Center
Credit”, which holds 100% capital shares of the limited liability company
“Spozhiv Servis” registered in the Ukraine, AS “Latvijas Krājbanka” will
continue implementing its strategy, which foresees development of the full
range of financial services, including crediting services.
