SAF-HOLLAND S.A. is launching its previously announced capital in-crease as
part of the financing for the acquisition of Georg Fischer Verkehrstechnik
GmbH. 1,864,900 new bearer shares from the authorised capital with a
nominal value of EUR 0.01 per share are to be placed, corresponding to 9.9%
of the Group’s existing subscribed share capital. As a result, the Company
will receive gross proceeds from the issuance of approximately EUR 14
million.

The shares are to be offered to qualified investors in Germany and other
European countries in the course of an accelerated placement and will be
fully entitled to dividends for the 2008 fiscal year. A public offering
will not take place.

Pamplona Capital Partners I LP seeks to maintain the current propor-tion of
its stockholding. In addition, it has provided a guarantee to un-derwrite
all new shares that cannot be placed.

The acquisition of Georg Fischer Verkehrstechnik will further acceler-ate
SAF-HOLLAND’s growth path and strengthen its position in the European
market for fifth wheels. At the same time, the company be-comes a truly
global supplier to the truck industry.

The capital increase is being accompanied by HSBC Trinkaus & Burkhardt AG
in the position of sole lead manager.
