At its meeting on 9 September 2008, the Managing Board of GERRY WEBER
International AG decided to conduct a share buy-back programme for up to 10
percent of the company’s registered share capital until 31 October 2009.
This share buy-back programme will be managed in accordance with the
provisions of EU Commission Regulation No. 2273/2003 implementing Article 8
of Directive 2003/6/EC.

The Managing Board herewith exercises the authorisation endorsed by the
company’s annual general meeting on 4 June 2008. Under this authorisation,
which extends until 31 October 2009, the company may buy back own shares
totalling up to 10 percent of the applicable share capital (i.e. currently
up to 2,295,298 shares). The price per share paid by the company (exclusive
of ancillary costs) may not exceed, or be lower than, the listed price by
more than 5 percent. For the purpose of this rule, the 'listed price' is
defined as the average price listed in XETRA trading (or any system
replacing XETRA) during the five days preceding the purchase of the shares.

Article 4, Section 4 of Commission Regulation (EC) No. 2273/2003 mandates
the disclosure of certain details related to the GERRY WEBER share buy-back
programme. This information will be made available free of charge on the

section.
