Derivatives: Changes in rules for issuers of covered warrants and certificates on OMX Nordic Exchange Stockholm AB (154/08)

NASDAQ OMX has during a long period of time been in the process of harmonizing the rules for warrants and certificates at the NASDAQ OMX Exchanges in Stockholm, Helsinki, Copenhagen and Iceland. This work has been finalized and resulted in a new set of rules for warrants and certificates that is to be taken into force (please see the attached file).

The changes imply that the so called framework agreement for warrant issuers will cease to exist and will be replaced with a rulebook including all relevant rules. An issuer of covered warrants and/or certificates  will have to follow all relevant parts of the rules after the signing of an Undertaking. 

The new rulebook for covered warrants and certificates (see the attached document) will be implemented on October 1, 2008 for issuers on OMX Nordic Exchange Stockholm AB. 


The purpose is thus to gather all rules in one rulebook, the same way as at the other Nordic Nasdaq OMX exchanges. The rulebook will be divided into different areas such as, stocks, bonds, warrants etc. The rules regarding covered warrants and certificates will consist of the following parts:

An Undertaking to abide by the new rules will be sent out to all issuers during September, 2008. This Undertaking shall be signed by persons authorized to sign for the issuing company and returned to the Exchange.
