Today, TDC announces that its 100 per cent owned Swiss subsidiary Sunrise Communications AG (“Sunrise”) has entered into a Share Purchase Agreement to acquire 100 per cent of the share capital of Tele2 Telecommunication Services AG (“Tele2 AG”) in Switzerland. Tele2 AG is the third largest fixed-line telecommunications provider in Switzerland. In addition to fixed-line telephony, Tele2 AG offers internet access and mobile telephony services to a total of 491,000 residential and business customers. Its focus is to offer simple services at low prices. In 1H 2008, Tele2 AG reached a negative EBITDA of CHF 2.6m (against a positive EBITDA for 2007 of CHF 2.2m) and a net revenue of CHF 115.1m (against a net revenue for 2007 of CHF 250.9m). The overall customer base remained stable from the end of 2007 (490,000 customers) to 1H 2008 (491,000 customers). The total consideration for Tele2 AG amounts to CHF 50m and will consist of Sunrise's assumption on closing of a loan granted by Tele2 Sverige AB to Tele2 AG and a cash consideration to the seller. The acquisition of Tele2 AG's ADSL customer base will constitute an opportunity for Sunrise to reduce the cost per customer associated with the ongoing ULL infrastructure build out. Further, the acquisition of Tele 2 AG will increase the customer base that will be available for cross selling. In addition to this, there will be cost synergies in operating a joined customer base after migration of customers to the existing Sunrise infrastructure. Closing of the transaction which is subject to approval from the Swiss competition authority and the Swiss Federal Communication Commission is expected by the end of October 2008. TDC expects the acquisition to have a positive impact on TDC's EBITDA for 2008 and onwards. TDC's outlook for 2008, which was published August 13, 2008, remains unchanged.
